The terms governing your use of Terris and the Terris Scout platform

By accessing or using the Terris website at tryterris.com ("Website") or the Terris Scout platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use our Website or Platform.
Terris provides AI-powered leasing evaluation and intelligence services for multifamily property operators. Our primary product, Terris Scout, deploys AI-generated prospect personas to evaluate leasing team performance across web, email, phone, and text channels. The Platform captures, analyzes, and scores responses to provide actionable coaching insights and portfolio-level benchmarking.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice to active subscribers.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. Our Services are intended for use by property management companies, multifamily operators, and their authorized representatives.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with prior notice where practicable.
Access to the Terris Scout platform requires an active subscription. Pricing is based on portfolio size and evaluation frequency as described on our Website or in a separate order form. All prices are quoted in Canadian Dollars (CAD) unless otherwise specified.
Subscriptions are billed monthly or annually, depending on the plan selected. Payment is due at the beginning of each billing period. We accept payment via credit card or other methods specified during checkout.
Subscriptions automatically renew at the end of each billing period unless cancelled at least 30 days before the renewal date. We will notify you before any price changes take effect.
Subscription fees are non-refundable except where required by applicable law. If you cancel mid-cycle, you will retain access to the Platform through the end of your current billing period.
Prices do not include applicable taxes. You are responsible for any sales tax, HST, GST, or other taxes imposed on your subscription, except for taxes on Terris's income.
You agree not to use the Services to:
All content, features, and functionality of the Website and Platform, including but not limited to text, graphics, logos, icons, software, AI models, scoring algorithms, and the overall design and arrangement thereof, are the exclusive property of Terris or its licensors and are protected by Canadian and international intellectual property laws.
These Terms do not grant you any right, title, or interest in the Platform beyond the limited right to use it in accordance with these Terms during your active subscription.
You retain ownership of all data you provide to the Platform (property lists, configuration settings, account information). You grant Terris a limited, non-exclusive license to use this data solely to provide and improve the Services.
Evaluation data generated by Terris Scout (response times, scores, conversation captures, coaching insights) for your properties is owned by you and made available through the Platform during your active subscription. Upon termination, you may request an export of your evaluation data for up to 30 days.
We may use anonymized, aggregated data derived from all customer usage to improve the Platform, develop benchmarks, and produce industry research. This aggregated data will not identify you, your company, or your individual properties.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms ("Confidential Information"). Neither party will use the other's Confidential Information except as necessary to perform its obligations or exercise its rights under these Terms.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is disclosed pursuant to a legal requirement, provided the receiving party gives reasonable prior notice where permitted.
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Without limiting the foregoing, Terris does not warrant that:
Terris Scout evaluations are intended to provide objective data to inform management decisions. They do not constitute legal, employment, or professional advice.
To the maximum extent permitted by applicable law, in no event will Terris, its directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Services, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages.
Terris's total cumulative liability to you for all claims arising out of or related to these Terms or the Services will not exceed the total amount paid by you to Terris during the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Terris and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any employment or management actions you take based on evaluation data from the Platform.
You may cancel your subscription at any time by contacting us at hello@tryterris.com or through the Platform's account settings (when available). Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your access to the Services immediately if you: (a) materially breach these Terms; (b) fail to pay fees when due after reasonable notice; or (c) engage in activity that could harm Terris, the Platform, or other users. We will provide notice and a reasonable opportunity to cure where practicable.
Upon termination: (a) your right to access the Platform ceases; (b) you may request an export of your evaluation data within 30 days; (c) all provisions of these Terms that by their nature should survive will continue in effect, including Sections 7, 8, 9, 10, 11, 12, and 14.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or related to these Terms or the Services will first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it will be submitted to binding arbitration in accordance with the rules of the ADR Institute of Canada, conducted in Toronto, Ontario. The language of the arbitration will be English.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect its rights or property.
We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, for active subscribers, by email at least 30 days before the changes take effect.
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
